1. Acceptance of This Agreement

By accessing or using Courial’s services, including its website, mobile applications, and other services (collectively, “Services”), you agree to these Terms of Service (“Agreement”). If you do not agree, you may not access or use the Services.
 

2. Modifications

Courial reserves the right to modify this Agreement at any time. Changes will be effective immediately upon posting through the Services. Continued use constitutes your acceptance of these changes.
 

3. Additional Terms and Policies

By using the Services, you agree to Courial’s Privacy Policy, which governs how we collect and use your personal information. Additional terms may apply to specific features or promotions.
 

4. Rules and Prohibitions

When using the Services, you agree to:
- Use the Services only for lawful purposes.
- Provide accurate, up-to-date information.
- Secure your account credentials.
- Avoid actions that could harm users, Courials, or merchants.
- Refrain from unauthorized access, data scraping, or misuse of promotional codes.
Courial reserves the right to suspend or terminate accounts for violations.
 

5. Independent Contractors

Courial provides a platform connecting users with independent Courials and merchants. Courial does not offer delivery services and is not responsible for the actions, omissions, or quality of services provided by Courials or merchants.
 

6. User Accounts

Users must:
- Register and maintain accurate account information.
- Notify Courial immediately of any unauthorized account activity.
Courial is not liable for losses arising from unauthorized account use.
 

7. User Content

Users grant Courial a non-exclusive, worldwide, royalty-free license to use content submitted through the platform, including reviews and feedback. Courial reserves the right to monitor or remove content at its discretion.
 

8. Communications

By creating an account, you consent to receive communications from Courial, including service updates and promotional messages. Preferences can be managed in your account settings.
 

9. Electronic Consent (E-SIGN)

You consent to the use of electronic records for this Agreement. Withdrawal of consent can be requested by contacting support@courial.com.
 

10. Intellectual Property

All rights, title, and interest in the Services, including trademarks and proprietary software, are owned by Courial. You are granted no rights to Courial’s intellectual property without express written permission.
 

11. Payment Terms

- Payments are non-refundable unless otherwise stated.
- Pricing displayed on the platform may differ from other sources.
- Courial reserves the right to modify fees or introduce additional charges.
 

12. Dispute Resolution

Arbitration: Any disputes will be resolved through binding arbitration, except for small claims or intellectual property disputes. Users may opt out of arbitration within 30 days of agreeing to these Terms by contacting support@courial.com.
 

13. Third-Party Interactions

Courial is not responsible for interactions or transactions with third-party websites, apps, or advertisements accessed through the Services.
 

14. Social Media Guidelines

Participation in Courial’s social media communities requires compliance with posted community guidelines. Courial may remove inappropriate content.
 

15. Alcohol and Cannabis Transactions

Users must be of legal age to order alcohol or cannabis products. Valid ID is required upon delivery. Courial and Courials may refuse delivery if conditions are not met.
 

16. Indemnification

Users agree to indemnify and hold harmless Courial from claims, damages, or expenses arising from their use of the Services or violation of these Terms.
 

17. Disclaimer of Warranties

The Services are provided “as is” without warranties of any kind. Courial does not guarantee uninterrupted, error-free operation of the Services.
 

18. Internet Delays

Courial is not liable for delays or failures caused by internet or electronic communication disruptions.
 

19. Limitation of Liability

Courial’s liability is limited to the amount paid by the user for Services in the six months preceding the claim. Courial is not liable for indirect, incidental, or consequential damages.
 

20. Exclusive Venue

Disputes will be handled exclusively in courts located in San Francisco County, California for California residents, or in the user’s jurisdiction for non-California residents.
 

21. Termination

Courial may terminate access to the Services without notice for any reason. Users remain bound by this Agreement even after termination.

23. General Provisions

- No Joint Venture: This Agreement does not create a partnership, joint venture, or employment relationship.
- Governing Law: Delaware law governs this Agreement.
- Severability: Invalid provisions do not affect the validity of remaining provisions.
- App Store Terms: This Agreement is between Courial and the user, not Apple or Google.
